Terms of Service

Welcome to USA First Select. These Terms of Service ("Terms") govern your access to and use of the USA First Select website, services, and any related communications (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Who We Are

USA First Select is a coordination and re-engagement service that works with equipment dealers and the applicants behind their stalled financing applications. We help dealers reconnect with applicants, complete incomplete files, and route active opportunities to brokers in our network who are positioned to fund them.

USA First Select is not a lender. We do not issue loans, make credit decisions, or underwrite financing. Financing review and approval are handled by the dealer, broker, lender, or financing partner reviewing the file.

2. Eligibility

You may use the Services only if you are authorized to represent the equipment dealership, business, or individual on whose behalf you are communicating, and only for lawful purposes. By using the Services, you represent that you have the authority to provide any information you submit and that the information is accurate to the best of your knowledge.

3. Dealer Partners

If you are an equipment dealer engaging USA First Select, you authorize us to:

• Receive financing application records, contact information, and related materials you provide to us.
• Re-engage the applicants behind those records on your behalf by phone, email, SMS, or other channels.
• Reference your dealership when reaching out, so the contacted business understands the source and context of the outreach.
• Collect missing documents and information necessary to complete the file.
• Continue communication with the applicants until the file is funded, declined, withdrawn, or until you request that we stop.
• Route completed files to a broker or financing partner in our network positioned to fund the opportunity.

You represent that you have the lawful right to share applicant information with USA First Select for the purposes described above and that any consent required from your applicants has been obtained.

You may withdraw a submitted file or end this authorization at any time by contacting USA First Select. Once notified, we will stop further outreach related to that file within a reasonable time.

4. Applicants and Outreach Recipients

If you have received outreach from USA First Select regarding a financing application, our role is to help you complete the application your dealer began. You are not required to continue, and you may opt out of further communication at any time by replying STOP to a text message, unsubscribing from email, or contacting us directly.

5. Fees

USA First Select does not charge dealers or applicants for its services. We are compensated through standard broker commission paid by the broker or financing partner on closed deals. There are no upfront fees, retainer fees, or success fees charged to you.

6. No Guarantee of Outcome

USA First Select does not guarantee that any financing application will be approved, completed, or funded. Outcomes depend on the applicant’s credit profile, documentation, the lender’s decision, and other factors outside our control.

7. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party right.
• Submit false, misleading, or fraudulent information.
• Share information you are not authorized to share.
• Interfere with or disrupt the Services or attempt to gain unauthorized access to any system.

8. Intellectual Property

The USA First Select name, logo, website content, and underlying software and design are the property of USA First Select and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

9. Third-Party Brokers and Lenders

USA First Select may refer files to third-party brokers, lenders, or financing partners. These third parties are independent of USA First Select. Their services are governed by their own agreements with you, and USA First Select is not responsible for their conduct, decisions, or terms.

10. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the fullest extent permitted by law, USA First Select and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of one hundred U.S. dollars or the amounts paid by you to USA First Select in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless USA First Select and its affiliates from any claim, liability, damage, or expense (including reasonable attorneys’ fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

13. Modifications

We may modify these Terms at any time by posting a revised version on our website. Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of the changes.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. You may stop using the Services at any time.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.
